Choose the holder for the job, not for convenience
A foreign agrochemical principal may be tempted to appoint whichever local party can move fastest. The holder decision should instead sit inside the wider Indonesia pesticide registration and market-entry decision, with the commercial opportunity validated before long-term control is committed. That can create long-term risk if the holder role becomes bundled with distribution, data control or commercial exclusivity that was never intentionally granted.
The holder should be selected against a defined scope, with eligibility and obligations confirmed against current Indonesian pesticide requirements. The Ministry of Agriculture’s official pesticide regulation portal is an important reference point for the latest rules and technical documents.
Use six selection criteria
- Regulatory fitness — ability to perform the role under current rules and maintain compliant records.
- Governance quality — willingness to use written authority matrices, controlled access and documented approvals.
- Asset protection — clear recognition that the principal retains its dossier, trademark and technology rights except where explicitly licensed.
- Transparency — regular visibility over submissions, authority correspondence, renewals and changes.
- Commercial neutrality — no assumption that holder appointment automatically grants exclusive distribution or pricing control.
- Transition readiness — a documented process for handover, open actions and records if the relationship changes, subject to applicable regulatory requirements.
Separate technical processing from holder governance
The party handling technical registration work does not necessarily need to be the commercial platform, distributor or holder. Separating responsibilities can improve accountability: the specialist manages technical processing, while the holder performs its regulatory role and the principal retains visibility over commercial decisions.
RAI supports this separation by facilitating the holder structure, governance and market-entry case while coordinating formal registration work with qualified specialist regulatory partners.
Ask for evidence, not promises
Before appointment, request examples of reporting, document control, escalation procedures and renewal management. Ask how the entity handles conflicts of interest, confidentiality and changes in commercial partners. The answers reveal more than a generic statement of experience.
Red flags
- The proposed holder insists on indefinite exclusivity as a condition of registration.
- The principal cannot access its own regulatory record.
- Data ownership and licence rights are vague.
- Commercial and regulatory authorities are mixed together without an approval matrix.
- Exit or transition is treated as something to discuss later.
